Acceptance of Terms of Use

These Terms of Use govern your access and use of this Site. By accessing or using this Site, Resellers agree to be bound by these Terms of Use and to any additional guidelines, restrictions, or rules that may be posted in connection with specific sections or services of this Site. All such additional posted guidelines, restrictions, or rules are hereby incorporated by reference into these Terms of Use.

FireSprint reserves the right to make changes to this Site and to these Terms of Use at any time without prior notice. Resellers should review these Terms of Use each time the site is accessed.

Resellers also agree that we may provide all legal communications and notices to Resellers electronically by posting them on our website or, at our election, by sending an e-mail to the e-mail address Resellers provided to us at the time of website registration. Resellers may withdraw consent to receive communications from FireSprint electronically by contacting our Support Team. However, if a Reseller withdraws consent to receive communications electronically, the Reseller must discontinue the use of their account.

General

These Terms and any dispute arising from or relating to your use of www.firesprint.com, purchase of products, or transaction with FireSprint will be governed by the laws of the State of Nebraska, without regard to conflict-of-law principles. Any legal action must be brought in the state or federal courts located in Nebraska, unless applicable law requires otherwise.

ORDER TERMS & CONDITIONS

Reservations

All orders are subject to FireSprint’s review and acceptance. We may reject, cancel, or request changes to an order due to pricing errors, artwork issues, production limitations, suspected fraud, or other business reasons. If we cancel an order after payment, we will issue an appropriate refund for the cancelled portion.

Artwork

Resellers must own or have rights to all submitted artwork, logos, trademarks, images, names and copy. FireSprint may reject unlawful, infringing, obscene, hateful, misleading, or otherwise inappropriate content.

The Reseller is responsible for reviewing and approving all proofs, specifications, quantities, spelling, grammar, layout, dimensions, and shipping information. Once approved, an order may move into production and may not be cancelled or changed. FireSprint is not responsible for errors approved by the Reseller..

Reseller understands that colors shown on screens, digital proofs, and prior orders may vary from final printed products due to differences in monitors, materials, inks, equipment, finishing, and production methods. Reasonable variation in color, placement, cutting, size, and quantity is not considered a defect.

Returns

Because products are custom-made, returns and cancellations are not accepted once an order enters production, except for verified production defects or FireSprint errors. Claims for defects, damage, or shortages must be submitted in writing within two business days after delivery and must include photos and order information.

Credit Card

If the Reseller's credit card is declined, FireSprint will not process the Reseller’s order. If the order is shipped and should the Reseller's account become delinquent, Reseller agrees to pay a monthly finance charge of 2% (annual percentage rate of 24%) on the unpaid balance or as applicable by law. If an account goes beyond the payment term's due date, unless specific arrangements are made, future purchases will require advance payment. In the event that FireSprint must commence legal action to enforce any terms of this agreement, the Reseller agrees to pay reasonable legal fees and costs.

Warranty

Except as expressly stated in these Terms, products are provided “as is” and “as available.” FireSprint disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law. FireSprint’s sole obligation for a verified defect or production error is, at FireSprint’s option, replacement, repair, credit, or refund of the affected product.

Shipping

Shipping terms are F.O.B. Omaha, NE.  FireSprint will arrange for shipping with the carrier on behalf of the Reseller.  The Reseller will be fully responsible for the shipping and handling cost.  FireSprint will not be responsible for the delay in delivery, loss or damage of the order while the order is with the shipping carrier.

Marketing Consent

By creating an account, placing an order, requesting a quote, subscribing to our email list, or otherwise providing your email address, you agree that FireSprint may send you emails related to your account, quotes, orders, proofs, production status, shipping, customer service, and other transactional or relationship matters.

If you separately opt in to receive marketing emails, FireSprint may also send you promotional emails, product updates, special offers, newsletters, and other marketing communications. You may unsubscribe from marketing emails at any time by clicking the unsubscribe link included in the email or by contacting us at 888-509-7446 or email [email protected]. We will process unsubscribe requests as required by law.

Unsubscribing from marketing emails will not prevent us from sending transactional or relationship emails, such as order confirmations, proof approvals, production updates, shipping notices, account notices, or responses to customer service requests.

Text Messages

If you provide a mobile phone number to FireSprint, you consent to receive non-marketing text messages from FireSprint related to your account, quote requests, orders, proofs, production status, pickup, delivery, shipping, customer service inquiries, and other service-related communications.

FireSprint does not currently send marketing or promotional text messages. Consent to receive service text messages is not a condition of purchasing any product or service from FireSprint.

Message frequency may vary. Message and data rates may apply. You may opt out of receiving text messages at any time by replying STOP. Promotions/Discounts/Taxes

Promo codes are subject to expiration, may not be combined, may be modified/cancelled, and cannot be redeemed for cash.

Products are sold by FireSprint for the purpose of resale by the Reseller. The Reseller is responsible for collecting all applicable taxes.

Account Security and Intellectual Property

Resellers are responsible for passwords, account activity, and all account information listed in the Reseller profile.

FireSprint owns www.firesprint.com, as well as all templates, tools, software, designs, content, and production methods, but the Reseller retains rights to their own uploaded materials. FireSprint reserves the right to display finished products in portfolios and marketing materials.

Indemnification

The Reseller agrees to indemnify, defend, and hold harmless FireSprint and its owners, employees, affiliates, and agents from claims, damages, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising from customer-submitted content, customer’s breach of these Terms, or customer’s violation of any law or third-party rights.

Limitation of Liability:

To the fullest extent permitted by law, FireSprint will not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages, including lost profits, lost revenue, lost business, production delays, or loss of goodwill. FireSprint’s total liability for any claim will not exceed the amount paid by the customer for the specific order giving rise to the claim.
